1. Acceptance of Terms

By accessing or using the website and services of Tarushi Software Solutions ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not access or use our services.

2. Services Description

Tarushi Software Solutions provides software development, IT consulting, healthcare IT, cloud infrastructure, and AI/ML solutions to businesses, healthcare organizations, and government agencies. The specific services, deliverables, timelines, and fees for any engagement are defined in a separate Statement of Work (SOW) executed between the parties.

3. User Obligations

• Provide accurate, current, and complete information in all forms and communications
• Maintain the confidentiality of any account credentials provided
• Use our website and services only for lawful purposes
• Not attempt to gain unauthorized access to any portion of our systems
• Cooperate with us in good faith during service engagements, including providing timely feedback and approvals

4. Intellectual Property Rights

All content on this website is the property of Tarushi Software Solutions. For custom software development engagements, clients own all custom code, designs, and deliverables created specifically for them. We retain ownership of pre-existing frameworks, tools, libraries, and methodologies.

5. Payment Terms

• Invoices are due within 30 days of issuance unless otherwise agreed
• Late payments accrue interest at 1.5% per month or the maximum rate permitted by law
• We reserve the right to suspend services for accounts overdue by more than 60 days
• All fees are exclusive of applicable taxes
• Disputed invoices must be raised in writing within 10 business days of receipt

6. Confidentiality & NDA

Both parties agree to keep all confidential information strictly confidential, not disclose confidential information to third parties without prior written consent, use confidential information only for the purposes of the engagement, and apply the same degree of care to protect the other party's information as they use to protect their own. These obligations survive termination for 3 years.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Tarushi Software Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the total fees paid for the relevant service in the 12 months preceding the claim.

8. Governing Law

These Terms of Service shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.
